Welcome to our CoursePals platform! CoursePals is a platform that brings people together over customized experiences and gives everyone a place to belong. Enjoy your exploration!

All users must ensure that their use of this product complies with the guidelines set forth by the Stanford University Generative AI Policy Guidance (https://communitystandards.stanford.edu/generative-ai-policy-guidance), the Teaching & Learning Hub's Course Policies on Generative AI Use (https://tlhub.stanford.edu/docs/course-policies-on-generative-ai-use/), and any additional requirements specified by their course instructors. Furthermore, the use of course materials through this product must respect the intellectual property rights of all stakeholders involved. Any consequences arising from the misuse of this product or violation of these terms will be the sole responsibility of the user

 

When we say "CoursePals", "we", "us", and "our" in these terms, we mean GroupUltra Limited, its subsidiaries, and its related companies.

 

When we say "Services" in these terms, we mean GroupUltra's services, apps, websites, and other products.

 

When we say "you" or "your", we mean you. If you're accessing our services on behalf of a legal entity (like your employer), you agree that you have the authority to bind that entity to these terms, and "you" and "your" will refer to that entity.

 

We also have a Privacy Policy that apply to your use of our services and are incorporated into these terms. You should read these policies—we've worked hard to make them simple and clear, and they contain important information about your use of our services.

 

Together, these rules make CoursePals possible, and they matter to us.

 

Who we are

CoursePals' services are provided by GroupUltra Limited We provide services that allow you to (1) interact with other CoursePals users via group messages by participating in large and small spaces ("Bands"), (2) use certain services ("Custom Services") provided by us or by other CoursePals users in a Band for individualized experience, (3) build or develop Custom Services in a Band for other CoursePals users.

 

Age requirements and responsibility of parents and legal guardians

By accessing our services, you confirm that you're at least 13 years old and meet the minimum age required by the laws in your country. If you are old enough to access our services in your country, but not old enough to have authority to consent to our terms, your parent or legal guardian must agree to our terms on your behalf. Please ask your parent or legal guardian to read these terms with you. If you're a parent or legal guardian, and you allow your child (who meets the minimum age for your country) to use the services, then these terms also apply to you and you're responsible for your child's activity on the services, including purchases made by them.

 

What you can expect from us

CoursePals is a platform that gives people highly customized group chat and group-based application experience. To do that, we provide different Bands where you can interact with other CoursePals users and communities. A CoursePals user can act as a Character in a Band, and interact with other Characters in the Band via text-based messages, as well as images, GIFs, emoji, files, and other uploadable media. Some of the Characters may be based on, or adapted from, one or many real CoursePals user(s).

 

Users create Bands, and users choose which Bands to join. By default, a Band is Inactive. An Inactive Band is like a chatroom, where each character represents a user, and your interactions will be visible to all other users in that Band, except targeted messages ("Whistles") which only certain characters you selected can see. The creator of the Band ("Conductor") has the right to make the Band Active by connecting to our platform with a computer program ("Custom Service") provided by us or the Conductor. In an Active Band, all user interactions will be forwarded to the Custom Service, and the Custom Service decides what to show to each User, including the Characters in the Band, messages from the Characters, Featured buttons ("Keys"), text and/or image displayed in the "Stage" area, and other user interface appearances. Please note that what you see in an Active Band is fully controlled by the Custom Service, and they may not be real. Also, when you join an Active Band, you give permission to its Conductor to use your public profile (e.g. nickname, avatar, etc) and your interaction to create new characters, and your interaction may not be processed as you intended (for example, a message may not be sent as is, or to the target you specified).

 

CoursePals' services may be personalized to each user based on their activity, so that you can see content and communities that may be of interest to you.

 

We're actively developing new features and products to improve CoursePals. As part of these efforts, we may add or remove features, start offering new services, or stop offering some services entirely (or just in some places or for some users) if they no longer make sense from a business perspective or create risk for CoursePals, our users, or other third parties. While we try to avoid disruptions, we can not guarantee that there will not be an outage or change to the services, and your content may not be retrievable due to such outages or changes. We are not liable for any such outages or service changes.

 

Your account

You may need to create an account to use some of our services. It's your responsibility to safeguard this account. Therefore, use a strong password exclusive to this account. We will not be liable for any loss or damage resulting from your failure to do so. If you believe your account has been compromised, contact Support immediately. Should you get locked out, we will attempt to contact you via the email or phone number linked to your account. If your account is compromised, or you no longer have access to your registered email or phone, we might not be able to restore your access to your account or the servers you've created.

 

You may control your account manually by yourself, or automatically with a customized computer program ("Agent"), or both.

 

You are not permitted to license, sell, or transfer your account without our prior written consent.

Content in CoursePals' Services

When we say "your content" in these terms, we mean all the things you add (upload, post, share, stream, etc.) to our services. This includes text, links, GIFs, emoji, photos, videos, documents, or other files uploaded. If we come up with another way for you to add content to the services, it includes that too.

You don't have any obligation to add content to the services. If you choose to add content to the services, you are responsible for ensuring that you have the right to do so, that you have the right to grant the licenses in this section of these terms, and that your content is lawful. We take no responsibility for any of your content, and we are not responsible for others' use of your content.

Software in CoursePals' Services

License to our software. You may not copy, modify, create derivative works based upon, distribute, sell, lease, or sublicense any of our software or services. You also may not reverse engineer or decompile our software or services, attempt to do so, or assist anyone in doing so, unless you have our written consent or applicable law permits it.

Although we are granting you this license, we retain any intellectual property rights we have in our software and services.

 

Open source. Some of CoursePals' services include software subject to separate open source license terms, and your use of those services are subject to your compliance with those license terms, when applicable. We encourage you to review them, as some licenses may explicitly override these terms.

 

Third-Party Services. CoursePals may allow you to access Characters, features, or services developed by third-party providers, including other CoursePals users ("third-party services"). It's your choice whether to use these third-party services and whether to participate in CoursePals Bands that incorporate them. You should review any terms and policies provided by the third parties before doing so as they govern your use of their services. While these third parties do need to follow all policies that apply to them, CoursePals is not responsible for any third-party services.

Privacy

Your privacy matters to us. You can learn how your information is handled when you use our Services by reading our Privacy Policy.

 

Restrictions on your use of CoursePals' Services

When using our services, you must comply with these terms, all applicable laws, rules, and regulations, and only use the services for authorized and acceptable purposes. Essentially, do not engage in, attempt to engage in, or encourage or assist others in any of the following actions:

                     Do not use the services to harm yourself or others. This encompasses actions such as trying to access another user's account, accessing non-public portions of the services, infringing upon anyone else's intellectual property rights or other proprietary rights, and exploiting, harassing, bullying, spamming, auto-messaging, or auto-dialing individuals through our services.

                     Do not use the services to harm CoursePals. This includes actions like attempting to access or attack our systems, scraping our platform, transmitting viruses or other malicious codes to our services, abusing or defrauding our payment systems, copying our product or using our intellectual property without permission, and misusing our reporting or customer service mechanisms.

                     Do not use the services for any illegal activities. This means you should not use the services to plan, commit any crime, or engage in any other illegal actions.

We encourage you to report any behavior you believe violates these restrictions.

Service "AS IS"

We work hard to offer great services, but there are certain aspects that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, GROUPULTRA, ITS AFFILIATES, AND THEIR RESPECTIVE SUPPLIERS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE LAWS OF CERTAIN JURISDICTIONS OR STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER THE LAWS OF YOUR JURISDICTION, WE LIMIT THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE FULL EXTENT PERMISSIBLE UNDER THOSE LAWS.

Indemnity

You agree, to the extent permitted by law, to indemnify, defend, and hold harmless GroupUltra Limited, our affiliates, directors, officers, stockholders, employees, licensors, and agents from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys' fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Services, or any products or services provided by a third party in connection with the Services, even if recommended, made available, or approved by GroupUltra Limited, (b) your content, including infringement claims related to your content, (c) your breach of these Terms or any applicable law or regulation, or (d) your negligence or willful misconduct.
In summary: If you cause us some damage, you will compensate us.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TWITTER ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE GROUPULTRA ENTITIES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

We limit our liability for anything you do, instances where you cannot access the Services, things others do, and any issues resulting from unauthorized use of our Services. Where we are liable to you and you have suffered some loss, we limit our liability to a set amount.

Termination

Your right to terminate. You're free to stop using CoursePals' services at any time and for any reason, which does not terminate this agreement.

Our right to terminate. Subject to applicable law, we reserve the right to suspend or terminate your account and/or your access to some or all of our services with or without notice, at our discretion for the following reasons:
- You breach these terms, our policies, or additional terms that apply to specific products.
- We're required to do so to comply with a legal requirement or court order.
- We reasonably believe termination is necessary to prevent harm to you, us, other users, or third parties.
- Continuing to allow your account to be active, giving you access to some or all services, or hosting your content creates risk for CoursePals, other users, or third parties.

Termination of your account or access to any component of the Services will not terminate CoursePals' rights to your User Content. Further, you agree that CoursePals' will not be liable to you or any third party for any termination of your access to the Services.

General

We may revise these Terms from time to time. The changes will not be retroactive, and the most current version of the Terms, which will always be at CoursePals will govern our relationship with you. Other than for changes addressing new functions or made for legal reasons, we will notify you in advance of making effective changes to these Terms that impact the rights or obligations of any party to these Terms, for example via a service notification or an email to the email associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

Admissibility. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Assignment. You may not assign these Terms without the prior written consent of GroupUltra Limited, but GroupUltra Ltd. may assign or transfer these Terms of Use, in whole or in part, without restriction.

Section Headings. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.

 

In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
